Terms of Service for Veterinary Clinics

These Terms of Service (“Clinic Terms”) govern access to and use of the Every Wag Care Connect Platform (the “Care Connect Platform”), a web-based application operated by Oh Rover, LLC d/b/a Every Wag (“Oh Rover,” “Every Wag,” “we,” “us,” or “our”), a Florida limited liability company. These Clinic Terms form a binding agreement between Oh Rover and the veterinary clinic, hospital, animal care practice, or veterinary professional (“Clinic”) that has registered for access to the Care Connect Platform.
These Clinic Terms are accepted electronically at the time of account creation. No physical or digital signature is required. Acceptance occurs when an authorized representative of the Clinic clicks to confirm agreement with these terms during the subscription purchase process. If the Clinic accesses any paid features of the platform, that access also constitutes acceptance of the terms in effect at that time.
These Clinic Terms are separate from and supplemental to the Every Wag consumer Terms of Service, which govern end-user (pet owner) accounts.
1. Overview of the Care Connect Platform
The Every Wag Care Connect Platform is a web-based tool that enables participating veterinary clinics to connect with pet owners who use the Every Wag mobile application. The Care Connect Platform enables clinics to:
- View basic profile information for linked pet owners and their pets
- View data entries and their notes of each health chart for linked pets
- Create and assign discharge or treatment plan care guides to pet owners
- Track care guide progress and completion as reported by the pet owner in the App
- Receive files and content that pet owners have explicitly chosen to share with the Clinic
- Communicate with pet owners via announcements, direct messages, or two-way conversations
- Export retained pet and care records from the platform
- Create intake forms to gather information from new clients
- Schedule visits and send calendar invites with pre-consult forms that pre-populate exam notes for transfer to a practice management system
The Care Connect Platform is intended for use by licensed veterinary professionals and their authorized staff. It is not a clinical management system and does not replace or integrate with existing practice management software unless expressly stated.
2. Clinic Registration and Authorized Users
2.1 Registration
To access the Care Connect Platform, the Clinic must complete the registration process and provide accurate, current, and complete information, including the Clinic’s legal name, address, primary contact, and billing details. The Clinic shall update this information promptly if it changes.
2.2 Authorized Users and Staff Access
The Clinic may designate authorized staff members (“Authorized Users”) to access the Care Connect Platform. The Clinic is solely responsible for:
- Managing which staff members have access and at what permission level
- Ensuring all Authorized Users comply with these Clinic Terms
- Revoking access promptly when a staff member is no longer employed by or authorized by the Clinic
- Protecting account credentials and ensuring they are not shared or disclosed to unauthorized individuals
Any action taken by an Authorized User within the Care Connect Platform is deemed an action of the Clinic. Oh Rover is not responsible for unauthorized access resulting from the Clinic’s failure to secure its credentials or manage its Authorized Users.
2.3 Authorized User Acknowledgment
Every Wag requires all Authorized Users to individually acknowledge the platform’s acceptable use rules upon each login. This acknowledgment confirms that the Authorized User is acting within the scope of their employment at the Clinic and will use the Care Connect Platform solely for legitimate veterinary care purposes. The Clinic is responsible for ensuring that all Authorized Users complete this acknowledgment and that their access is promptly revoked if they leave the Clinic or are otherwise no longer authorized.
2.4 Clinic Representations and Warranties
The Clinic represents and warrants that: (a) it is a duly organized and validly existing entity under applicable law; (b) it holds all licenses, permits, and registrations required to operate as a veterinary clinic or animal care practice in its jurisdiction; (c) the individual accepting these Clinic Terms on behalf of the Clinic has the authority to bind the Clinic; and (d) the Clinic’s use of the Care Connect Platform will comply with all applicable laws and regulations, including state veterinary practice acts and consumer privacy laws.
3. Pet Owner Linking and Data Access
3.1 The Linking Mechanism
Data access is initiated only when a pet owner using the Every Wag mobile application links their account to the Clinic. Clinics may invite pet owners to connect through the platform, and Every Wag provides tools to facilitate these invitations. Linking remains a voluntary action by the pet owner. The Clinic acknowledges that it may not require or pressure pet owners to link their accounts as a condition of receiving veterinary care, and a pet owner’s decision not to link does not affect the care they receive.
3.2 Data Available Upon Linking
Once a pet owner links to the Clinic, the Care Connect Platform will display the following information:
- Pet owner name and email address
- Pet name, species, breed, neutered/spayed status, and microchip number for pets assigned to the Clinic
- Data entries and their notes for health charts of linked pets
Pet notes entered by the owner in the Every Wag App are not visible to the Clinic. The Clinic shall use accessed data solely for the purpose of providing veterinary care to the linked pet owner’s animals.
3.3 File and Content Sharing
Pet owners may, at their sole discretion, choose to share files or other content with the Clinic through the Every Wag App. File sharing is an opt-in action that must be expressly enabled by the pet owner on a per-file basis. The Clinic may not request, require, or extract files from pet owners outside of this mechanism.
3.4 Unlinking
A pet owner may unlink from the Clinic at any time through the Every Wag App. Upon unlinking, the Clinic will no longer receive updated information from the pet owner’s account. However, records and files shared or generated while the accounts were linked are retained in the Care Connect Platform as described in Section 5.
4. Care Guides
4.1 Creation and Assignment
The Clinic may create and assign discharge or treatment plan care guides to pet owners through the Care Connect Platform. These care guides are delivered to the pet owner via the Every Wag mobile App. The Care Connect Platform allows Clinics to monitor progress on assigned care guides, including which items have been marked complete by the pet owner.
4.2 Clinic Ownership and Responsibility
The Clinic is solely responsible for the accuracy, appropriateness, and completeness of all care guide content generated, created, or used in the platform. Every Wag serves as the delivery and tracking mechanism only and does not review, edit, validate, or endorse any care guide content created by Clinics.
Every Wag may provide pre-made care guide templates that the Clinic may use. However, the Clinic remains solely responsible for all recommendations and guidance contained in any care guide it shares with a pet owner, whether based on a template or not. Pre-made templates are provided “as is” and are not warranted for completeness, accuracy, or suitability for any particular clinical scenario.
The Clinic shall indemnify and hold harmless Oh Rover from any claims, damages, or liabilities arising from care guide content created or adopted by the Clinic or from outcomes resulting from a pet owner’s adherence to or deviation from assigned care instructions.
4.3 Progress Tracking
Care guide progress data reflects actions self-reported by pet owners within the Every Wag App. Oh Rover makes no representation regarding the accuracy or reliability of self-reported completion data. Clinics should not rely solely on App-reported progress as a substitute for direct clinical follow-up.
4.4 Clinic Communications
The Care Connect Platform provides Clinics with tools to communicate directly with linked pet owners, including platform announcements and direct two-way messaging. The Clinic is solely responsible for all communications it sends through the platform and agrees to the following:
Permitted communications include messages reasonably related to veterinary care and clinic operations, such as appointment information, discharge follow-up, care reminders, clinic scheduling updates, and general practice announcements.
Prohibited communications include unsolicited commercial advertising, promotions for third-party products or services, communications unrelated to veterinary care, and any content that is harassing, misleading, or unlawful.
The Clinic acknowledges that pet owners who have linked to the Clinic have consented to receive care-related communications through the platform. The Clinic agrees not to use the messaging features in a volume or manner that a reasonable pet owner would consider excessive or intrusive. Every Wag reserves the right to suspend messaging access if it determines the Clinic is misusing the communication tools.
Every Wag is the delivery mechanism for Clinic-initiated communications and is not responsible for the content, accuracy, or appropriateness of messages sent by the Clinic. The Clinic shall indemnify Every Wag for any claims arising from communications the Clinic sends through the platform.
4.5 Medical Documentation and Disclaimer
The Care Connect Platform includes functionality that allows Clinics to schedule appointments, create structured medical records through a guided examination workflow, and transfer or export completed records to an existing practice management system. The following apply to all use of this functionality.
Every Wag is not engaged in the practice of veterinary medicine. The Care Connect Platform is a documentation and communication tool only and does not constitute veterinary advice, diagnosis, or treatment of any kind.
The Clinic retains full and exclusive responsibility for all clinical decisions, diagnoses, prescribed treatments, and professional obligations arising from its veterinary services. The platform does not replace and is not a substitute for the independent professional judgment of a licensed veterinary professional.
Use of the exam documentation or structured record features does not create a veterinary-client-patient relationship between Every Wag and any pet owner. Every Wag has no role in and accepts no responsibility for the accuracy, completeness, or clinical appropriateness of any record created through the platform.
Completed medical records are stored within the platform for export purposes only. The Clinic is solely responsible for transferring, verifying, and maintaining these records in its practice management system and in compliance with all applicable veterinary recordkeeping laws and regulations.
5. Data Retention and Record-Keeping
5.1 Retention After Pet Owner Account Deletion or Unlinking
If a pet owner deletes their Every Wag account or unlinks from the Clinic, a snapshot of the pet information, care guides assigned and completed during the linked period, and any files the pet owner shared with the Clinic will be retained within the Care Connect Platform for veterinary record-keeping purposes.
Following such an event, the retained snapshot will no longer receive updates from the pet owner’s App, is retained on behalf of the Clinic for the Clinic’s record-keeping obligations, and remains accessible to Authorized Users and exportable via the Care Connect Platform’s export tools.
5.2 Clinic’s Record-Keeping Obligations
The Clinic is responsible for managing retained records in compliance with all applicable federal and state veterinary records laws and regulations, including any minimum retention periods required by its state licensing board. Oh Rover provides the platform to store and export these records but does not assume responsibility for the Clinic’s compliance with record-keeping obligations.
5.3 Data Export
The Care Connect Platform provides tools for Clinics to export pet records, care guides, and shared files. The Clinic is responsible for performing exports as needed and is strongly encouraged to do so before canceling its subscription. Oh Rover does not guarantee data availability after account termination beyond the transition period described in Section 9.
6. Subscription, Billing, and Payment
6.1 Subscription Tiers
Access to the Care Connect Platform is provided on a subscription basis. Available tiers and pricing are described on the Every Wag pricing page (everywag.com/pricing) and may be updated from time to time. The Clinic shall pay all applicable subscription fees in accordance with the billing terms in effect at the time of signup or renewal.
6.2 Billing and Auto-Renewal
Clinic subscriptions are billed in advance at the start of each billing period. Payment is due on the billing date. Subscriptions automatically renew at the end of each billing period unless the Clinic cancels before the renewal date. Every Wag will provide the Clinic with reasonable notice of a failed payment via the Clinic’s registered email address.
6.3 Non-Payment
Grace Period (7 days from billing date): The Clinic retains full access to all platform features while the payment is outstanding. Every Wag will send payment reminders during this period.
Feature Suspension (after 7 days unpaid): If payment has not been received within the grace period, Every Wag may suspend the Clinic’s access to active platform features, including the ability to view linked pet owner data, assign care guides, and receive new shared files. The Clinic will retain read-only access to previously retained records and the ability to use the data export tools during this period.
Account Termination (after 30 days unpaid): If the outstanding balance remains unpaid for thirty (30) days following the original billing date, Every Wag may terminate the Clinic’s account in accordance with Section 9.4. The Clinic will have an additional fifteen (15) days of export-only access following termination notice before account data is deleted.
Every Wag reserves the right to waive late fees or extend grace periods at its discretion. Reactivation of a suspended account requires payment of all outstanding balances before access is restored.
6.4 Taxes
All fees are exclusive of applicable taxes. The Clinic is responsible for paying all applicable sales, use, or similar taxes on subscription fees.
6.5 Refunds
Subscription fees are non-refundable except as required by applicable law or as expressly stated in a written agreement between Oh Rover and the Clinic. If Oh Rover terminates the Clinic’s account without cause, a prorated refund for the unused portion of the current billing period will be issued.
7. Acceptable Use and Prohibited Conduct
The Clinic shall use the Care Connect Platform solely for its intended purpose of providing and managing veterinary care for linked pet owners’ animals. The Clinic agrees not to:
- Use pet owner data accessed through the platform for any purpose other than direct veterinary care for the linked animal
- Sell, license, share, or disclose pet owner data to any third party, including marketing vendors or pet product companies
- Use the platform to send unsolicited marketing communications to pet owners via mechanisms other than the care guide and notification features provided
- Attempt to reverse-engineer, scrape, or extract platform data in bulk outside of the provided export tools
- Access or attempt to access data for pet owners who have not linked to the Clinic
- Use the platform in any manner that violates applicable law, including state veterinary practice acts or consumer privacy laws
- Use Shared Data to solicit, recruit, or divert Every Wag users away from the Every Wag platform or toward competing products or services
- Sublicense, resell, or provide access to the Care Connect Platform to any third party
8. Intellectual Property
8.1 General Rights
All rights, title, and interest in and to the Care Connect Platform, including its software, design, features, documentation, and underlying technology, remain exclusively with Oh Rover. These Clinic Terms do not grant the Clinic any ownership interest in the platform. The Clinic receives only a limited, non-exclusive, non-transferable, revocable license to access and use the Care Connect Platform during the subscription term in accordance with these Clinic Terms.
8.2 Care Guide Content
Care guide content created or used by the Clinic belongs to the Clinic. By creating and using care guides through the platform, the Clinic grants Oh Rover a limited, non-exclusive, royalty-free license to store, display, and transmit that content for the purpose of delivering care guides to pet owners and tracking their progress as described in these Terms.
8.3 Feedback
If the Clinic provides Every Wag with suggestions, ideas, enhancement requests, bug reports, or other feedback regarding the Care Connect Platform (“Feedback”), the Clinic grants Every Wag a perpetual, irrevocable, royalty-free, worldwide license to use, incorporate, and commercialize that Feedback in any manner without restriction or compensation to the Clinic. Every Wag is under no obligation to act on any Feedback provided.
8.4 Aggregated Platform Data
Every Wag may collect and use anonymized, aggregated data about how the Care Connect Platform is used, such as the number of care guides assigned, completed, or in progress across clinic locations, for the purposes of improving platform features, generating performance insights for the Clinic, and developing internal benchmarks. This aggregated data does not identify individual pet owners, pets, or clinic staff and cannot reasonably be reverse-engineered to do so. Every Wag does not aggregate or analyze personal information about pet owners across its user base for clinic-facing reporting or any other purpose.
9. Term, Termination, and Suspension
9.1 Term
These Clinic Terms commence on the date the Clinic registers for the Care Connect Platform and continue until terminated by either party in accordance with this Section.
9.2 Termination by Clinic
The Clinic may cancel its subscription at any time. Cancellation takes effect at the end of the current billing period. The Clinic retains access to the platform and export tools through the end of the paid period. The Clinic is strongly encouraged to export all records before the subscription ends.
9.3 Suspension of Access
Every Wag may temporarily suspend the Clinic’s access to the Care Connect Platform, without terminating this agreement, in any of the following circumstances:
- The Clinic’s account has an overdue balance not resolved within the timeframe described in Section 6
- Every Wag reasonably determines that the Clinic’s use of the platform poses an imminent security risk to the platform or to pet owner data
- Every Wag is required to suspend access by applicable law or a governmental authority
- The Clinic has violated these Terms in a manner that Every Wag determines requires immediate action to protect pet owners or the platform
Where practicable, Every Wag will provide written notice to the Clinic before or promptly after suspension. Suspension does not relieve the Clinic of its payment obligations. Every Wag will restore access promptly once the condition giving rise to suspension has been resolved. Repeated or unresolved suspensions may result in termination under Section 9.4.
9.4 Termination by Oh Rover
Oh Rover may suspend or terminate the Clinic’s access to the Care Connect Platform:
- Immediately, if the Clinic materially breaches these Terms and fails to cure within ten (10) days of written notice
- Immediately, without opportunity to cure, for conduct that endangers the privacy or safety of pet owners or their data
- With thirty (30) days’ written notice, for any other reason at Oh Rover’s discretion, with a prorated refund for the unused portion of the current billing period
9.5 Post-Termination Data Access
Following subscription cancellation or termination, the Clinic will have thirty (30) days of read-only access to export its records. After this window, Oh Rover may delete all Clinic account data and retained pet records from the platform. Oh Rover is not liable for any data loss resulting from the Clinic’s failure to export records before this window closes.
9.6 Effect of Termination
Upon termination for any reason, the Clinic’s right to access and use the Care Connect Platform ceases immediately (subject to the post-termination export window). Sections of these Clinic Terms that by their nature should survive termination, including Sections 4.2 (Clinic Ownership and Responsibility), 5 (Data Retention), 7 (Acceptable Use), 8 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 13 (Confidentiality), and 14 (Governing Law), will continue to apply.
10. Disclaimers and Platform Availability
THE CARE CONNECT PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” OH ROVER MAKES COMMERCIALLY REASONABLE EFFORTS TO MAINTAIN PLATFORM AVAILABILITY BUT DOES NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION. SCHEDULED MAINTENANCE WILL BE COMMUNICATED IN ADVANCE WHERE PRACTICABLE.
OH ROVER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. OH ROVER DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF PET OWNER-PROVIDED DATA DISPLAYED IN THE PLATFORM.
11. Limitation of Liability
11.1 Cap on Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OH ROVER’S TOTAL CUMULATIVE LIABILITY TO THE CLINIC FOR ANY CLAIMS ARISING FROM OR RELATED TO THE CARE CONNECT PLATFORM SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY THE CLINIC IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11.2 Exclusion of Consequential Damages
IN NO EVENT SHALL OH ROVER BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.3 Exclusive Remedies
The remedies expressly stated in these Clinic Terms, including the right to request correction of a platform error, the right to export data, and the right to a prorated refund where specified, are the Clinic’s sole and exclusive remedies for the matters they address. If the Clinic believes the platform has failed to perform as described, the Clinic’s remedy is to notify Every Wag and allow Every Wag a reasonable opportunity to correct the issue. Nothing in this section limits either party’s right to seek injunctive relief or to bring claims for willful misconduct or gross negligence.
12. Indemnification
The Clinic shall indemnify, defend, and hold harmless Oh Rover and its officers, directors, employees, and agents from and against any and all claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) the Clinic’s use of the Care Connect Platform in violation of these Terms; (b) care guide content created or adopted by the Clinic; (c) the Clinic’s veterinary services or advice; (d) the Clinic’s misuse of pet owner data accessed through the platform; or (e) the Clinic’s violation of applicable law.
Oh Rover shall indemnify, defend, and hold harmless the Clinic and its officers, employees, and agents from and against any claims, damages, losses, and expenses arising out of or related to a breach of the platform’s security or a failure of Oh Rover’s data handling practices that is directly attributable to Oh Rover’s gross negligence or willful misconduct and that directly causes unauthorized disclosure of pet owner data.
13. Confidentiality
Each party shall keep confidential any non-public information received from the other party in connection with the Care Connect Platform that is designated as confidential or that reasonably should be understood to be confidential (“Confidential Information”). Each party will use Confidential Information only as necessary to fulfill its obligations under these Terms and will protect it with at least the same degree of care it uses for its own confidential information, but no less than reasonable care. Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party without restriction; (c) is independently developed by the receiving party; or (d) is rightfully obtained from a third party without restriction.
14. Governing Law and Dispute Resolution
These Clinic Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.
Any dispute arising from these Terms that cannot be resolved informally within thirty (30) days shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), conducted in Pinellas County, Florida. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights or confidential information.
15. Modifications to These Terms
Oh Rover reserves the right to modify these Clinic Terms at any time. Material changes will be communicated to the Clinic’s registered email address no less than thirty (30) days before taking effect. Continued use of the Care Connect Platform after the effective date of updated Terms constitutes acceptance of the revised Terms. If the Clinic objects to a material change, it may terminate its subscription before the change takes effect.
16. General Provisions
16.1 Entire Agreement
These Clinic Terms, together with the Every Wag Privacy Policy and the Data Processing Addendum, constitute the entire agreement between Oh Rover and the Clinic with respect to the Care Connect Platform and supersede all prior agreements, representations, or understandings, whether written or oral.
16.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its original intent.
16.3 Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of Oh Rover’s right to enforce it in the future. No waiver is effective unless made in writing.
16.4 Assignment
The Clinic may not assign or transfer its rights or obligations under these Terms without Oh Rover’s prior written consent. Any attempted assignment without such consent is void. Oh Rover may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets without the Clinic’s consent.
16.5 Force Majeure
Neither party will be liable for any delay or failure to perform its obligations under these Clinic Terms to the extent such delay or failure is caused by circumstances beyond that party’s reasonable control, including natural disasters, fire, flood, earthquake, pandemic, acts of government, internet or telecommunications outages, or failure of third-party infrastructure providers. The affected party will promptly notify the other party and resume performance as soon as reasonably practicable. This section does not excuse either party’s obligation to make payments that are due.
16.6 Anti-Corruption
Each party shall comply with all applicable anti-corruption and anti-bribery laws, including the U.S. Foreign Corrupt Practices Act. Each party represents that it has not offered, promised, given, or authorized any bribe, kickback, or improper payment to any person in connection with this agreement, and will not do so.
16.7 Publicity
The Clinic grants Every Wag a non-exclusive, royalty-free license during the term of these Clinic Terms to reference the Clinic by name and display the Clinic’s logo in Every Wag’s customer lists, website, and marketing materials solely to identify the Clinic as a customer of the platform. Every Wag will not publish testimonials, case studies, or detailed descriptions of the Clinic’s use of the platform without the Clinic’s prior written consent. If the Clinic prefers not to be referenced in this manner, the Clinic may notify Every Wag at info@everywag.com and Every Wag will promptly remove any such references.
16.8 Notices
All notices under these Clinic Terms must be in writing and will be deemed given when delivered by email to the addresses on file or when sent by recognized overnight courier or certified mail to the addresses set forth in Section 17. Either party may update its notice address by providing written notice to the other party.
16.9 Independent Contractors
The parties are independent contractors. Nothing in these Clinic Terms creates a partnership, joint venture, agency, or employment relationship between the parties.
16.10 No Third-Party Beneficiaries
These Clinic Terms are for the sole benefit of the parties and do not confer any rights or remedies on any third party, except that Oh Rover’s indemnified parties are intended third-party beneficiaries of the indemnification obligations in Section 12.

Acceptance of Terms
By clicking to confirm agreement during the subscription purchase process, or by accessing any paid feature of the Care Connect Platform, the individual completing registration represents that:
- They are at least 18 years of age
- They are authorized to bind the clinic or organization on whose behalf they are registering
- The clinic shall be bound by these Clinic Terms, the Every Wag Privacy Policy, and the Data Processing Addendum, all as of the date of account creation
If you do not agree to these terms, do not create an account or access the Care Connect Platform.
Every Wag records the date, time, and version of these Clinic Terms in effect at the time of each account registration. This record constitutes evidence of the Clinic’s acceptance of the terms in effect at that time.

Data Processing Addendum
Effective Date: The date on which the Clinic accepts this DPA via the Care Connect Platform subscription purchase process • Version 2.0
This Data Processing Addendum (“DPA”) is incorporated into and forms part of the Every Wag Clinic Terms of Service (the “Clinic Terms”).
Parties and Purpose
This DPA is entered into between Oh Rover, LLC d/b/a Every Wag (“Every Wag” or “Data Controller”) and the veterinary clinic, hospital, animal care practice, or veterinary professional that has accepted the Clinic Terms (“Clinic” or “Data Recipient”).
This DPA governs the handling of Personal Data that Every Wag shares with the Clinic through the Care Connect Platform in connection with the Clinic Terms. This DPA does not apply to data that Clinics independently collect from their own patients outside the Every Wag platform.
1. Definitions
“Applicable Data Protection Law” means all federal, state, and local laws, regulations, and regulatory guidance relating to the privacy, security, or processing of Personal Data that apply to either party’s performance under this DPA, including without limitation the California Consumer Privacy Act (as amended by the CPRA), the Virginia Consumer Data Protection Act, the Colorado Privacy Act, and any successor or analogous legislation.
“Shared Data” means, collectively, Personal Data and Pet Data made accessible to the Clinic through the Care Connect Platform.
“Data Controller” means Every Wag, which determines the purposes and means of the original collection of Personal Data from App users.
“Data Recipient” means the Clinic, which receives Shared Data through the platform for the permitted purposes described in this DPA.
“Data Subject” means the Every Wag App user (pet owner) whose Personal Data is shared with the Clinic.
“Personal Data” means any information shared through the Care Connect Platform that identifies or is reasonably linkable to a specific individual, including pet owner name, email address, and any data associated with identified pets.
“Pet Data” means information about animals shared through the Care Connect Platform, including pet name, species, breed, neutered/spayed status, microchip number, health chart entries, care guide completion records, and files shared by the pet owner.
“Security Incident” means any actual or reasonably suspected unauthorized access to, disclosure of, acquisition of, or loss of Shared Data.
2. Nature, Purpose, and Scope of Data Sharing
2.1 What Data Is Shared
The following table summarizes the categories of Shared Data and the conditions under which each is made available:

Data expressly excluded from Clinic access:
- Pet owner personal notes or journal entries in the App
- Files not explicitly shared by the pet owner with the Clinic
2.2 Permitted Purposes
The Clinic may use Shared Data solely for the following permitted purposes:
- Providing, managing, and coordinating veterinary care for the linked pet owner’s animals
- Creating and delivering discharge care guides through the platform
- Monitoring care plan progress and communicating with pet owners about their pet’s care
- Maintaining veterinary records as required by applicable state law
2.3 Prohibited Uses
The Clinic is expressly prohibited from using Shared Data for any purpose not listed in Section 2.2, including without limitation:
- Marketing or advertising any products or services to pet owners, except as directly related to veterinary care
- Selling, renting, licensing, or otherwise transferring Shared Data to any third party
- Aggregating or de-identifying Shared Data for research, analytics, or publication without Every Wag’s prior written consent
- Using Shared Data to solicit, recruit, or divert Every Wag users away from the Every Wag platform or toward competing products or services
- Any purpose that would constitute a violation of Applicable Data Protection Law or the Every Wag Privacy Policy
Any use of Shared Data outside the permitted purposes constitutes a material breach of this DPA and the Clinic Terms.
3. Consent and Legal Basis
Every Wag collects Personal Data from App users under its Privacy Policy and Terms of Service. Data sharing with Clinics is disclosed in the Every Wag Privacy Policy and is triggered only by an affirmative linking action taken by the pet owner in the App.
The Clinic acknowledges that it receives Shared Data on the basis of the pet owner’s voluntary consent to share information with their linked clinic. The Clinic shall not attempt to obtain additional consent from Data Subjects independently or represent to Data Subjects that the Clinic collects information through any means other than the Every Wag platform linking mechanism.
4. Data Security Obligations
4.1 Clinic Security Measures
The Clinic shall implement and maintain reasonable and appropriate technical, administrative, and physical safeguards to protect Shared Data from unauthorized access, disclosure, alteration, or destruction. These safeguards must be appropriate to the sensitivity of the data and must include, at a minimum:
- Limiting access to Shared Data to Authorized Users who have a legitimate need to access it for veterinary care purposes
- Maintaining unique login credentials for each Authorized User and prohibiting the sharing of passwords
- Revoking access promptly when staff members leave the Clinic or change roles
- Securing exported records using password protection, encryption, or equivalent measures where data is stored outside the platform
- Ensuring that devices used to access the platform are protected by current operating system security patches and reasonable access controls
- Conducting periodic internal reviews of access logs and security practices no less than annually
4.2 Every Wag Security Measures
Every Wag maintains technical, administrative, and physical safeguards to protect the Care Connect Platform and the data it stores, including encrypted connections, secure authentication, and regular security monitoring as described in the Every Wag Privacy Policy.
5. Data Breach Notification
5.1 Clinic Obligations
If the Clinic becomes aware of any Security Incident, the Clinic shall:
- Notify Every Wag at privacy@everywag.com within forty-eight (48) hours of becoming aware of the Security Incident
- Provide Every Wag with a written description of the nature of the incident, the categories and approximate number of Data Subjects affected, the likely consequences, and the measures taken or proposed to address it
- Take immediate and reasonable steps to contain, investigate, and mitigate the incident
- Cooperate fully with Every Wag’s reasonable requests regarding the investigation and any required notifications to affected Data Subjects or regulators
- Preserve all evidence and logs related to the Security Incident for a minimum of twelve (12) months
- Not make any public statement or notification regarding the Security Incident without Every Wag’s prior written consent, unless required by law
5.2 Every Wag Obligations
In the event of a Security Incident originating within the Every Wag platform that affects Shared Data, Every Wag will notify the Clinic within seventy-two (72) hours of becoming aware and will take reasonable steps to investigate, contain, and remediate the incident in accordance with its internal incident response plan and Applicable Data Protection Law.
6. Audit and Compliance Verification
Upon reasonable written request and no more than once per calendar year, Every Wag may audit the Clinic’s compliance with this DPA. The Clinic shall cooperate with such audits and provide reasonable access to relevant records, systems, and personnel. Every Wag will provide the Clinic with at least fifteen (15) business days’ advance written notice of any audit. Audits will be conducted during normal business hours and in a manner that minimizes disruption to the Clinic’s operations. If an audit reveals a material non-compliance, the Clinic shall remediate the issue within thirty (30) days and bear any reasonable costs associated with the audit. Every Wag may also engage a qualified independent third-party auditor, bound by confidentiality obligations, to conduct any such audit on its behalf.
7. Data Retention by the Clinic
7.1 Retained Records
As described in the Clinic Terms, the Care Connect Platform retains a snapshot of Shared Data after a pet owner deletes their Every Wag account or unlinks from the Clinic. This snapshot is retained for veterinary record-keeping purposes and remains accessible to the Clinic. Upon such retention, the Clinic assumes responsibility for managing this data in accordance with applicable state veterinary records laws and this DPA.
7.2 Clinic Retention Outside the Platform
If the Clinic exports Shared Data from the platform, the Clinic becomes solely responsible for the security, retention, and lawful use of that exported data. Every Wag has no control over or responsibility for data once it is exported from the platform. The Clinic shall apply to exported data the same security safeguards required under Section 4.1.
7.3 Return or Deletion of Data on Termination
Upon termination of the Clinic’s subscription, the Clinic is responsible for exporting any records it needs to retain before the post-termination export window closes (see the Clinic Terms). After that window, Every Wag will delete all Clinic account data and associated Shared Data from the platform in accordance with Every Wag’s standard data deletion procedures.
8. Subprocessors and Third-Party Transfers
8.1 Every Wag Subprocessors
Every Wag uses third-party service providers (“Subprocessors”) to operate the Care Connect Platform, including hosting, authentication, and infrastructure services. These Subprocessors are bound by written confidentiality and data protection obligations that are no less protective than the obligations set forth in this DPA. A current list of Subprocessors is available upon request. Every Wag will provide the Clinic with at least thirty (30) days’ prior written notice of any material change to its Subprocessors. For purposes of this Section, a change is material when the new or modified Subprocessor has the ability to access, store, or process data that could identify a user or their pet; changes affecting only internal Every Wag operations with no access to personal data do not constitute a material change. If the Clinic reasonably objects to a new Subprocessor on data protection grounds, the parties will work in good faith to resolve the concern; if no resolution is reached within thirty (30) days, the Clinic may terminate the Clinic Terms upon written notice without penalty.
8.2 Clinic’s Third-Party Systems
If the Clinic exports Shared Data to a third-party practice management system or other software, the Clinic is solely responsible for ensuring that such transfer and subsequent processing complies with Applicable Data Protection Law and this DPA. Every Wag is not a party to and bears no responsibility for any such transfer.
9. Data Subject Rights
Pet owners may exercise rights regarding their Personal Data by contacting Every Wag at privacy@everywag.com. Every Wag handles data subject requests for data it controls within the active App platform.
With respect to retained snapshots held within the Care Connect Platform for veterinary record-keeping purposes:
- The Clinic is responsible for responding to any requests from Data Subjects regarding records retained in the Care Connect Platform on the Clinic’s behalf.
- The Clinic may use the platform’s export tools to fulfill access or portability requests.
- Deletion requests for retained veterinary records are subject to the Clinic’s legal record-keeping obligations and applicable state law. Every Wag will assist with platform-level deletion if instructed by the Clinic and if not prohibited by law.
- The Clinic shall respond to verifiable Data Subject requests within the timeframes required by Applicable Data Protection Law and shall promptly notify Every Wag of any request that may require Every Wag’s assistance.
10. State Privacy Law Provisions
10.1 California (CCPA/CPRA)
To the extent the Clinic operates in California or serves California residents:
- The Clinic shall not sell or share (as those terms are defined under the CCPA/CPRA) any Personal Data received through the Care Connect Platform.
- The Clinic shall use Personal Data only for the permitted purposes described in Section 2.2 and shall not retain, use, or disclose Personal Data outside the direct business relationship between the Clinic and Every Wag.
- The Clinic shall cooperate with Every Wag in responding to verified consumer requests within the timeframes required by the CCPA/CPRA.
- The Clinic certifies that it understands the restrictions in this Section 10.1 and will comply with them.
10.2 Other State Privacy Laws
To the extent that other state privacy laws (including without limitation the Virginia Consumer Data Protection Act, the Colorado Privacy Act, the Connecticut Data Privacy Act, and any successor legislation) apply to the Clinic’s processing of Shared Data, the Clinic shall comply with all applicable obligations under such laws, including any requirements related to data subject rights, data protection assessments, and purpose limitations.
10.3 HIPAA Inapplicability
The parties acknowledge that HIPAA does not apply to veterinary records. The data shared through the platform is not “protected health information” as defined under HIPAA, and no Business Associate Agreement is required in connection with this DPA.
11. Liability and Indemnification
Each party is responsible for its own compliance with Applicable Data Protection Law with respect to data under its control or in its possession.
The Clinic shall indemnify, defend, and hold harmless Every Wag, its officers, directors, employees, and agents from and against any and all claims, fines, penalties, regulatory actions, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to the Clinic’s violation of this DPA, misuse of Shared Data, or failure to comply with Applicable Data Protection Law.
Every Wag shall indemnify, defend, and hold harmless the Clinic from and against any claims, damages, losses, and expenses arising out of a Security Incident within the Every Wag platform that is directly attributable to Every Wag’s gross negligence or willful misconduct in maintaining the security measures described in this DPA.
12. Remedies for Non-Compliance
If Every Wag determines, in its reasonable discretion, that the Clinic has violated this DPA, Every Wag may, in addition to any other remedies available at law or in equity:
- Immediately suspend the Clinic’s access to Shared Data pending investigation and remediation
- Require the Clinic to certify in writing, within a timeframe specified by Every Wag, that the non-compliance has been remediated
- Terminate the Clinic Terms effective immediately upon written notice for material or repeated violations
- Require the Clinic to return or certify destruction of all Shared Data in the Clinic’s possession, except as required to be retained by applicable state veterinary records law
13. Term and Survival
This DPA is effective as of the date the Clinic accepts the Clinic Terms and remains in effect for the duration of the Clinic’s access to the Care Connect Platform. The following provisions survive termination of this DPA: Section 4 (Data Security Obligations), Section 5 (Data Breach Notification), Section 6 (Audit and Compliance Verification), Section 7 (Data Retention), Section 9 (Data Subject Rights), Section 10 (State Privacy Law Provisions), Section 11 (Liability and Indemnification), and Section 12 (Remedies for Non-Compliance).

Acceptance
This Data Processing Addendum is entered into electronically. By checking the box indicating acceptance of this DPA during the Care Connect Platform subscription purchase process, the Clinic agrees to be bound by the terms of this Addendum on behalf of itself and its Authorized Users. No handwritten or electronic signature is required.
Every Wag’s acceptance of this DPA is standing and applies to all Clinics that complete the subscription purchase process. A current copy of this DPA is available at everywag.com/legal.
The Clinic’s acceptance is recorded automatically at the time of subscription purchase and includes the accepting user’s name, email address, IP address, timestamp, and the version of this DPA in effect at that time. These records are available to the Clinic upon written request to privacy@everywag.com.
